CONSTITUTION OF THE AUXILIARY OF THE SOUTH CAROLINA
SOCIETY OF PROFESSIONAL LAND SURVEYORS
PREAMBLE
To aid and assist in carrying out the objectives and purposes of the
South
Carolina Society of Professional Land Surveyors, the
Society authorizes the formation of Chapters of the Society organized
upon application to and approval of the SCSPLS Board of Directors.Chapters are
governed by a Constitution
and By-Laws, which
together with all amendments thereto shall be approved by the SCSPLS Board
of Directors in order to be valid.
The following Constitution and
By-Laws are modeled after those of the SCSPLS last revised May 9, 1998.
The SCSPLS
Auxiliary supports the SCSPLS’ position that service to Society, to State,
and to
Profession
is the premise upon which individual opportunity must be built, the
Auxiliary
supports
the SCSPLS in its dedication
to the promotion and protection of the profession of land surveying as a
social and economic influence vital to the affairs of men and of the
community.
ARTICLE I
(NAME AND OBJECT)
SECTION 1. NAME.The name of this organization shall be the “Auxiliary of the
South
Carolina
Society
of Professional Land Surveyors,”
commonly
abbreviated to “SCSPLS Auxiliary”
and hereinafter
referred
to as the
“Auxiliary.”
SECTION 2.
OBJECT.
The object of the
Auxiliary
shall be
to:
Support
the SCSPLS in fulfilling its objectives of:
advancing
the public welfare and the professional, social and economic interests of
the Professional Land Surveyor in promoting
education, legislation and public relations and
initiating close
cooperation, and active liaison between the Land Surveying and
other Professions with similar or related interests.
Serve as an active liaison
between the SCSPLS and the companions and/or families of those in the
Professional Land Surveyor community to encourage the concept
“Surveying—It’s a Family Affair”, which includes, but is not limited to,
communicating with and carrying out complimentary programs and activities
for their benefit.
The Auxiliary will not promulgate nor establish policy
that conflicts with the policy of the SCSPLS.
ARTICLE II
(MEMBERSHIP)
SECTION 1.
MEMBERSHIP.
Any
person is eligible for membership in the
Auxiliary who is closely or remotely associated with the land
surveying and mapping profession or who is interested in surveying and
mapping.
SECTION
2. GENERAL MEMBER.Any eligible person is accepted as a General Member by submitting a
membership form accompanied by annual dues.
SECTION 3.HONORARY MEMBER. The
Executive Board may bestow a complimentary one (1) year Honorary Membership
upon any person who has made outstanding contributions of time and/or
service to the Auxiliary.
Honorary Membership must be updated annually.
SECTION 4.LIFE MEMBER. The
Executive Board may bestow a complimentary Life-time Membership upon any
person who has rendered eminent service and who has made valuable and
outstanding contributions to the Auxiliary, the title of Life Member.Life Members are exempt from paying annual dues.
SECTION 5.CHARTER MEMBER. The
designation of Charter Member is held by those persons who were founding
members of the Auxiliary, as evidenced by the payment of dues in the year
1995.
SECTION 6.ANNUAL DUES. Annual dues
are to be paid within ninety (90) calendar days from July 1, the beginning
of the fiscal year.
SECTION 7.VOTING.
Only
members whose dues are currently paid shall be eligible to vote.
ARTICLE III
(ADMINISTRATION)
SECTION 1.OFFICERS. The
Auxiliary
shall have as officers:

President
3.
President-Elect—elected
annually; serves a 3 year term—1st year as President Elect; 2nd
year as President; 3rd year as Immediate Past President
4.
Vice President—elected
annually; may serve a max. 2 year term
5.
Secretary—elected annually;
may serve a max. 2 year term
6.
Treasurer—elected annually;
may serve a max. 2 year term
A minimum two-year hiatus is required for eligibility to a
second term in the office of President or President Elect.Service as an officer is limited to two years in each office.
SECTION
2:
DUTIES OF OFFICERS.
Immediate Past President.Serves as Chairman of the Past Presidents’ Council, assisting the
Auxiliary with long range planning, special projects and serves in an
advisory role.
PRESIDENT. Presides at all
meetings of the Auxiliary, is the ex officio Chairman of the Executive
Board, and ex officio member of all committees.
PRESIDENT-ELECT. Represents the
Auxiliary on the SCSPLS Convention Committee.
VICE
PRESIDENT. Serves as newsletter
editor, informing the Auxiliary of programs and activities.
SECRETARY. Keeps an accurate
record of the proceedings of the Auxiliary and the Executive Board, conducts
the correspondence, and has custody of all books, papers and records.
TREASURER.Has custody of all funds of the Auxiliary and keeps a complete record
of the financial affairs.
In the absence of the President, the order of succession
as presiding officer at all meetings of the Auxiliary shall be the
President-Elect, the Vice President, the Immediate Past President, the
Secretary, the Treasurer.
SECTION 3. EXECUTIVE
COMMITTEE. The Auxiliary shall
have an Executive Committee composed of the six officers named in Section 2.The Executive Committee shall serve as a planning committee for the
Board of Directors and as a financial committee for the
Auxiliary.The term of service shall be from July 1 to June 30.
SECTION 4. BOARD OF
DIRECTORS. The
Auxiliary
shall have a Board of Directors composed of the Executive Committee.The term of service shall be from July 1 to June 30.
SECTION 5. EXECUTIVE
BOARD. The Executive
Committee and the Board of Directors shall hereafter be referred to
singularly as the “Executive Board”.The President shall be the ex officio Chairman of the Executive
Board
SECTION 6. VACANCIES.A vacancy in any office shall be filled by a majority vote of the
Executive Board for the unexpired term.
SECTION
7. EXPENSES.The expenses of the Treasurer and expenses of any other member or
person serving the Auxiliary shall be allowed by a majority vote of the
Executive Board. This approval
will be in the form of the approved annual budget.Other specific items that are not in the approved annual budget must
be approved on a case by case basis.
SECTION 8: DISSOLUTION.In the event of dissolution of the Auxiliary, if such were necessary
or desirable, any funds remaining in the corporate treasury shall be
distributed the SCSPLS, or in the event it no longer exists, then to another
and/or similar non-profit, tax-exempt organization.
ARTICLE IV
(ELECTIONS)
ELECTION OF OFFICERS. The
President, at the SCSPLS Winter General Business Meeting of each year, shall
appoint a Nominating Committee of three, one of which will be the Immediate
Past President, who will serve as Chairman.The Nominating Committee shall present its slate of officers at the
SCSPLS Spring General Business Meeting and open the floor at the time for
additional nominations. All
persons accepting nomination must indicate so on a nomination acceptance
form. A ballot shall be mailed
out to the membership on or before April 15 and the ballots must be returned
by May 1 to be counted. At the
Annual Convention the President shall appoint a tellers committee who shall
count the votes and announce the results at the Convention General Business
Meeting.
ARTICLE V
(COMMITTEES)
SECTION 1. COMMITTEE
APPOINTMENTS. The President,
with the majority approval of the Executive Board may appoint standing
committees and special committees.
SECTION 2. COMMITTEE
DUTIES. The Executive Board shall
define the duties of all committees.All committees are subject to assisting organizations outside the
Auxiliary when directed by the Executive Board.The committees shall serve a one year term.The Chairperson of each Committee shall be responsible for preparing
the Committee’s annual written report, which is to be submitted to the
Executive Board at the Annual Convention.
ARTICLE VI
(CONSTITUTION AMENDMENTS)
AMENDMENTS. Amendments to
this Constitution may be proposed by a majority of the Executive Board.The Secretary shall mail proposed amendments to the Constitution to
each member with ballot. An
amendment shall become effective only upon the affirmative vote of two
thirds (2/3) of the voting members.
ARTICLE VII
(INDEMNIFICATION)
INDEMNIFICATION. All
Officers and Directors of the Auxiliary and such others as specified from
time to time by the Executive Board, shall be indemnified by the Auxiliary
against all expenses and liabilities including counsel fees, reasonably
incurred or imposed upon them in connection with any proceeding to which
they may be a party, or in which they may become involved, by reason of
being or having been an Officer or Director at the time such expenses are
incurred, except in cases wherein the Officer or Director is adjudged guilty
of willful misfeasance or malfeasance in the performance of duties.
The foregoing rights of indemnification shall be in addition to and
not exclusive of all other rights to which the indemnified may be entitled.
ARTICLE VIII
(BY-LAWS)
BY-LAWS. By-Laws may be
amended by majority vote at any Executive Board business meeting of the
Auxiliary.
ADDENDUM
(MOTIONS)
MOTIONS. Motions made at
SCSPLS Auxiliary General Membership meetings from May 1995 through December
1998 which effect the operation of the Auxiliary are attached as an Addendum
to this Constitution for easy reference.
MAY 11,
1996 Summer General Membership Meeting at the Annual Convention:
It was decided that in the future when funds were to be
allocated to an individual for any reason that the four officers would
decide on an amount with a minimum of $50.00 and not to exceed $500.00.Motion made by Carried Johnson, seconded by Sandy Baird
The last motion discussed for funds disbursement was that
the Auxiliary should keep $500.00 in the checking account for operation
purposes. Motion made by Donna
Foster, seconded by Charlotte Swygert.
MARCH 1,
1997 Spring General Membership Meeting at Camp Buckhorn:
It was decided that in the future the way the Auxiliary
would handle a Love Offering would be to give $50.00 from our funds and a
request be made at large for additional funds.The motion was carried.
MAY 10,
1997 Summer General Membership Meeting at the Annual Convention:
The motion was made that in the future all nominated
persons be contacted and their prior approval be given before the name is
submitted for the ballot, also that a description for each officer position
be given to each member before the nominations begin.
BI-LAWS
OF THE
AUXILIARY
OF THE SOUTH CAROLINA
SOCIETY OF PROFESSIONAL LAND
SURVEYORS
SECTION 1. FISCAL YEAR.The fiscal year of the Auxiliary shall begin July 1.
SECTION
2. DUES.The annual dues shall be determined by the Executive Board at the
beginning of each fiscal year. A
two-thirds (2/3) vote of the Executive Board is required to change the
amount of annual dues. Dues
notices are mailed at the beginning of the fiscal year.Should a member fail to submit current annual dues within ninety (90)
calendar days from July 1, the person shall be notified that their
membership has expired and mailings are discontinued until membership is
renewed.
SECTION
3. MEETINGS.The
Auxiliary
shall hold not less than four (4) General Membership meetings and four (4)
Executive Board meetings during each fiscal year, at places and times
decided upon by the Executive Board.
SECTION 4. ORDER OF
BUSINESS. All business meetings
shall consist of, but not be limited to, the following:
1. Reading of minutes of
previous meeting.
2. Unfinished business.
3. Report of Officers and
Chairmen of Committees.
4. New business.
5. Adjournment.
6. Robert’s Rules of
Order shall be the accepted parliamentary procedure of the Auxiliary.
SECTION 5. DUTIES OF
OFFICERS. There are basic duties
to be accomplished each year and six (6) officers among whom these duties
can be equally distributed. Once
distributed, the responsible officer may delegate tasks to others as needed.The following is suggested as an equal distribution of responsibility
among the six officers.
At the beginning of the fiscal year, July 1,the six officers will
plan together the four Auxiliary events/meetings, fund-raiser, establish the
annual budget and set goals. All
officers will develop, carry out, and attend Auxiliary meetings.
IMMEDIATE PAST PRESIDENT.
Serves as Chairman of the Past Presidents’ Council, which assists the
Executive Board and Auxiliary with long-range planning, membership growth,
special projects, and serves in an advisory role.Serves as Chairman of the Nominating Committee.Takes photographs at Auxiliary events and updates the scrapbook—2 to
4 pages per year.
PRESIDENT. Presides at
the four (4) meetings of the Auxiliary, is the ex officio Chairman of the
Executive Board, and ex officio member of all committees.Serves as a member of the SCSPLS Board of Directors, as the Auxiliary
Representative at the SCSPLS Board meetings, and the Auxiliary
Representative on the SCSPLS Convention Committee.Prepares content for the Auxiliary membership mail-outs and submits
copy for publication in the SCSPLS newsletter (The Benchmark).
PRESIDENT ELECT. Conducts
the “Sunshine” member relations correspondence for the Auxiliary and
provides a report of member happenings for the Auxiliary meetings and
Executive Board meetings. Serves
as “recepient” for membership mailings.Maintains a membership record of the information on the membership
forms and a dues history.
Provides reports and labels from the membership database/records as
requested by the Officers. Has
custody of and keeps the permanent papers, records, and books of the
Auxiliary.
VICE PRESIDENT. Assists
the other officers by handling printing, processing, and mailings to
Auxiliary members for meetings.
SECRETARY. Records and publishes
accurate minutes of the proceedings of the Auxiliary meetings and Executive
Board meetings. Sends out dues
notices and past due notices.
Uses documents generated over the year to prepare an annual written report
of the year’s business beginning with the convention at which the current
officers were installed. The
annual report shall include the Auxiliary’s membership and activities, a
complete roster of the membership, and a list of Officers and Committees.Copies of the annual report will be provided at the SCSPLS Annual
Convention to each member at the Auxiliary meeting and also to the President
for submittal to the SCSPLS Board.
TREASURER. Has custody of
all funds of the Auxiliary and shall make deposits, issue checks, issue
reimbursements, and reconcile the account with bank statements, as directed
by the Executive Board. Will
keep a complete record of the financial affairs.To aid the officers in developing the annual budget, the records
shall be kept in a method so that expenses can be separated into the four
membership meetings, income separated by fund-raiser event(s) or dues, etc.The books and records of the Treasurer shall be audited as directed
by the Executive Board. The
Treasurer shall furnish a financial report at all Executive Board meetings
and all General Membership meetings.
SECTION 6.
STANDING
COMMITTEE RESPONSIBILITIES.
It is the responsibility of Committees to assist the
President by:
planning and carrying out
activities and programs at
meetings;
working
in
cooperation with programs and seminars provided by the SCSPLS Education
Committee,
which
help practicing surveyors increase in knowledge and develop professionally
promoting National Surveyor’s
Week and other programs which better inform the Auxiliary and the public and
advance the surveying profession
striving toward the goal of
enlisting every registered, active surveyor’s spouse or companion as a
member of the Auxiliary.
The Committee Chairman will submit an annual written
report to the Executive Board for the general membership meeting at the
SCSPLS Annual Convention.
